Welcome to HippoLink. These Terms of Service ("Terms") govern your access to and use of the HippoLink platform, website, mobile applications, APIs, and all related services (collectively, the "Services") provided by HippoLink LLC. ("HippoLink," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights, remedies, and obligations, including limitations of liability, dispute resolution procedures, and a binding arbitration clause.

1. Definitions
- "Account" means the account you create to access and use our Services.
- "Content" means any text, images, data, information, or other materials submitted, uploaded, or displayed through the Services.
- "Inventory Data" means product listings, pricing information, stock levels, condition grades, images, and related catalog data.
- "Platform" means the HippoLink web application, mobile applications, APIs, and all associated tools and features.
- "Subscription" means your paid access to the Services under one of our subscription plans.
- "Third-Party Services" means external marketplaces, payment processors, and other services you connect to HippoLink (e.g., TCGPlayer, Shopify, ManaPool, CardTrader).
- "User," "you," or "your" refers to the individual or business entity accessing or using the Services.
2. Eligibility and Account Registration
2.1 Eligibility
To use our Services, you must: (a) be at least 18 years old or the age of majority in your jurisdiction; (b) have the legal capacity to enter into a binding agreement; (c) if registering on behalf of a business, have the authority to bind that business to these Terms; and (d) not be prohibited from using the Services under applicable laws.
2.2 Account Registration
You must create an Account to access most features of the Services. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your Account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your Account
- Accept responsibility for all activities under your Account
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your Account credentials and for any activities that occur under your Account. HippoLink will not be liable for any loss or damage arising from your failure to protect your Account information. We strongly recommend enabling two-factor authentication when available.
3. Description of Services
3.1 Platform Overview
HippoLink provides an all-in-one ecosystem platform for trading card game (TCG) stores, offering the following core features:
- Inventory Management: Tools to organize, track, and manage your TCG product inventory
- Point-of-Sale (POS): Integrated checkout and transaction processing capabilities
- Buylist Automation: Automated buy pricing and customer buylist management
- Card Scanning: Mobile and desktop card recognition technology
- Multi-Platform Syncing: Real-time synchronization across connected marketplaces
- Autopricing: Dynamic pricing rules and automated price adjustments
3.2 Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
3.3 Service Modifications
HippoLink reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may add, remove, or change features, impose usage limits, or update pricing. For material changes that adversely affect your use of the Services, we will provide reasonable advance notice where practicable.
4. Subscription Plans and Fees
4.1 Subscription Plans
Access to the Services requires a paid Subscription. Current subscription plans, features, and pricing are available on our website. Plans may differ in features, usage limits, and support levels.
4.2 Billing and Payment
- Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan
- All fees are quoted in U.S. dollars unless otherwise specified
- You authorize us to charge your designated payment method for all applicable fees
- Failed payments may result in suspension or termination of your Account
- You are responsible for any applicable taxes, duties, or governmental assessments
4.3 Free Trials
We may offer free trial periods for certain subscription plans. At the end of the trial period, your Subscription will automatically convert to a paid plan unless you cancel before the trial ends. You may be required to provide payment information to start a trial.
4.4 Refunds and Cancellation
- You may cancel your Subscription at any time through your Account settings or by contacting support
- Upon cancellation, you will retain access to the Services until the end of your current billing period
- Subscription fees are generally non-refundable, except as required by applicable law or at our sole discretion
- Annual subscriptions may be eligible for prorated refunds within the first 30 days of purchase, subject to our refund policy
4.5 Price Changes
We may change subscription pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' notice. Your continued use of the Services after a price change constitutes acceptance of the new pricing.
5. User Content and Data
5.1 Ownership of Your Content
You retain all ownership rights in the Content you submit to the Services, including your Inventory Data. HippoLink does not claim ownership of your Content.
5.2 License to HippoLink
By submitting Content to the Services, you grant HippoLink a worldwide, non-exclusive, royalty-free license to use, copy, modify, process, and display your Content solely for the purpose of providing, improving, and promoting the Services. This license continues even after you stop using the Services, but only for Content that has been shared with other users or incorporated into aggregate data.
5.3 Content Representations
You represent and warrant that:
- You own or have the necessary rights to submit and use the Content
- Your Content does not infringe any third-party intellectual property rights
- Your Content complies with these Terms and all applicable laws
- Your Inventory Data accurately reflects your actual inventory and pricing to the best of your knowledge
5.4 Data Backup and Export
While we implement reasonable backup procedures, you are responsible for maintaining your own backups of your Content. We provide data export functionality to help you retrieve your data. Upon termination of your Account, you will have a limited period to export your data before it may be deleted in accordance with our data retention policies.
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Services only for lawful purposes related to managing your TCG business operations. You agree to comply with all applicable laws, regulations, and third-party agreements (including marketplace terms of service).
6.2 Prohibited Conduct
You agree NOT to:
- Use the Services for any illegal activity or to facilitate fraud, money laundering, or other criminal conduct
- Violate the terms of service of any Third-Party Services you connect to HippoLink
- Submit false, misleading, or deceptive information, including inaccurate inventory listings
- Engage in price manipulation, market manipulation, or anticompetitive practices
- List or sell counterfeit, stolen, or prohibited items through the Services
- Attempt to gain unauthorized access to the Services, other users' accounts, or our systems
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
- Use automated systems (bots, scrapers, crawlers) to access the Services without authorization
- Interfere with or disrupt the Services, servers, or networks connected to the Services
- Transmit viruses, malware, or other malicious code
- Harass, abuse, or harm other users or HippoLink personnel
- Resell, sublicense, or provide access to the Services to third parties without authorization
- Circumvent usage limits, access controls, or security measures
6.3 Enforcement
We reserve the right to investigate and take appropriate action against violations of this Acceptable Use Policy, including removing Content, suspending or terminating Accounts, and reporting illegal activities to law enforcement authorities.
7. Third-Party Integrations
7.1 Connecting Third-Party Services
The Services allow you to connect to Third-Party Services such as TCGPlayer, Shopify, ManaPool, CardTrader, and other marketplaces and platforms. By connecting these services, you authorize HippoLink to access and interact with your accounts on those platforms as necessary to provide the Services.
7.2 Third-Party Terms
Your use of Third-Party Services is governed by their respective terms of service and privacy policies. You are solely responsible for:
- Complying with the terms and policies of Third-Party Services
- Maintaining valid accounts and credentials for connected services
- Understanding how HippoLink's actions on your behalf may affect your standing with Third-Party Services
- Ensuring that your use of autopricing and syncing features complies with marketplace policies
7.3 No Endorsement or Liability
HippoLink does not endorse, warrant, or assume responsibility for Third-Party Services. We are not liable for any damages, losses, or disputes arising from your use of Third-Party Services or any actions taken by those services. Changes to Third-Party APIs or policies may affect the availability or functionality of integrations.
8. Intellectual Property
8.1 HippoLink Property
The Services, including all software, designs, text, graphics, logos, trademarks, and other materials (excluding User Content), are owned by HippoLink or our licensors and are protected by intellectual property laws. All rights not expressly granted in these Terms are reserved.
8.2 Limited License
Subject to these Terms, HippoLink grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to:
- Modify, copy, or create derivative works of the Services
- Sublicense, sell, or transfer your access to any third party
- Use HippoLink trademarks without prior written consent
- Remove or alter any proprietary notices or labels
8.3 Feedback
If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant HippoLink an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate the Feedback into our products and services without compensation or attribution to you.
9. Disclaimers
9.1 "As Is" Basis
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HIPPOLINK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Guarantee of Results
We do not warrant or guarantee that:
- The Services will meet your specific requirements or expectations
- The Services will be uninterrupted, timely, secure, or error-free
- Results obtained from using the Services will be accurate or reliable
- Autopricing features will result in optimal pricing or increased sales
- Inventory syncing will be instantaneous or prevent all instances of overselling
- Third-party integrations will function without interruption
9.3 Market Data
Pricing data, market information, and analytics provided through the Services are for informational purposes only and may not reflect actual market conditions. You are solely responsible for your pricing decisions and business operations.
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIPPOLINK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or inventory information
- Overselling or underselling due to sync delays
- Pricing errors or suboptimal pricing recommendations
- Suspension or termination of Third-Party Service accounts
- Business interruption or downtime
- Any damages arising from Third-Party Services or integrations
10.2 Liability Cap
IN NO EVENT SHALL HIPPOLINK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO HIPPOLINK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10.3 Basis of the Bargain
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF HIPPOLINK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND HIPPOLINK.
11. Indemnification
You agree to indemnify, defend, and hold harmless HippoLink and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services
- Your Content or Inventory Data
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any Third-Party Service terms or policies
- Any claims by third parties (including customers, marketplaces, or business partners) related to your use of the Services
- Any disputes arising from transactions conducted through connected marketplaces
12. Termination
12.1 Termination by You
You may terminate your Account and these Terms at any time by canceling your Subscription through your Account settings and ceasing to use the Services. You remain responsible for any fees incurred before termination.
12.2 Termination by HippoLink
We may suspend or terminate your Account and access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that:
- You have violated these Terms or the Acceptable Use Policy
- Your Account poses a security risk or has been compromised
- Your activities may cause legal liability for HippoLink or other users
- You have failed to pay applicable fees
- We are required to do so by law or legal process
12.3 Effect of Termination
Upon termination:
- Your right to access and use the Services will immediately cease
- All licenses granted to you under these Terms will terminate
- You must stop using any HippoLink trademarks or materials
- You will have a limited period (typically 30 days) to export your data before it may be deleted
- Provisions that by their nature should survive termination will remain in effect
12.4 Survival
The following sections survive termination: Definitions, User Content and Data (as to licenses granted), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@hippolink.app and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations for at least 30 days before either party may proceed with formal proceedings.
13.2 Binding Arbitration
If we cannot resolve a dispute informally, you and HippoLink agree to resolve any claims through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in English, and the seat of arbitration will be in the State of Delaware, United States.
13.3 Class Action Waiver
YOU AND HIPPOLINK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
13.4 Exceptions
Notwithstanding the above, either party may: (a) bring individual actions in small claims court for claims within that court's jurisdiction; (b) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights; or (c) pursue claims that cannot be waived under applicable law.
13.5 Governing Law
These Terms and any disputes arising from or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
14. Changes to Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you by email or through a prominent notice within the Services at least 30 days before the changes take effect
- Provide a summary of material changes where practicable
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and cancel your Subscription before the changes take effect.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and HippoLink regarding the Services and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of HippoLink.
15.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. HippoLink may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.
15.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
15.6 Force Majeure
HippoLink shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet outages, or Third-Party Service failures.
15.7 Export Compliance
You agree to comply with all applicable export and import control laws and regulations. You may not use, export, or re-export the Services in violation of any applicable laws, including U.S. export laws and regulations.
